Lee & Ko’s Capital Markets Practice Group provides legal services in connection with the establishment, management and compliance of asset management companies. The Group has advised a number of Korean asset management companies as well as many offshore asset management companies interested in the Korean market on a variety of issues relating to all aspects their activities. On the basis of our extensive knowledge and experience, we have been able to develop our expertise and establish ourselves as a market leader. 

Lee & Ko’s Capital Markets Practice Group represents asset management companies, investment advisors and discretionary investment managers and provides the following services: (i) advising clients on establishing asset management companies (ii) advising asset management companies on preparing documents and taking steps necessary for forming and registering public/private investment funds with the relevant regulatory agencies, such as the Financial Supervisory Service, (iii) advising asset management companies on general compliance matters, (iv) advising asset management companies on their fund management activities, (v) advising investors, including many Korean financial institutions, on their investments in investment funds, (vi) advising clients on establishing investment advisory companies and discretionary investment management companies, (vii) advising investment advisors and discretionary investment managers on general compliance matters, (viii) advising investment advisors and discretionary investment advisors on their investment activities, (ix) advising overseas investment advisors and discretionary investment advisors on registration in Korea as well as regulations on marketing activities inside Korea, (x) advising overseas investment advisors and discretionary investment manager on post-registration compliance and (xi) advising investors on delegating the management of investment account. aw Center (2014)

Fund Formation 
  • Formation of the MAIN Fund (the first mezzanine fund in Korea) managed by Shinhan BNP Paribas Asset Management
  • Formation of a number of infrastructure funds by Woori Asset Management (Korea BTL Fund, etc.)
  • Formation of many shipping funds by KDB Asset Management and Korea Infrastructure Investments Asset Management, known as “KIAMCO” (KDB Shipping Private Special Asset Investment Trust No. SPO-1 (Business Right), KIAMCO KDB Shipping Private Special Asset Investment Trust No. PR-1 (Business Right), etc.)

Investment and Disposal
  • Acquisition of equity interest in AquaSure Holdings Pty Limited, an Australian holding company formed for the purpose of carrying out the desalinization project in the state of Victoria, by MiraeAsset MAPS Aqua Private Special Asset Trust 1 (Equity) and other Korean financial investors.
  • Provision of a subordinate loan to Myeong Seong Environment Co., Ltd., a Korean waste processing/recycling company, by Emerging Infrastructure Investment Loan Company managed by Darby Hana Infrastructure Fund Management.
  • Acquisitions of new and used dry bulk vessels by KDB Shipping Private Special Asset Investment Trusts and KIAMCO KDB Shipping Private Special Asset Investment Trusts.
